Neon Arc Studio provides web development, design, consulting, security guidance, technical support and related digital services (“Services”). The scope of Services for each project is typically defined in a proposal, agreement or statement of work.
We may modify or discontinue certain Services, and we will notify active clients if such changes impact ongoing work.
2. Client Responsibilities
You agree to:
• Provide accurate and complete project information
• Confirm you have rights to all content, assets, credentials or materials you provide
• Respond to communications and review deliverables promptly
• Maintain backups of any critical data unless we agree otherwise in writing
We are not responsible for delays caused by incomplete or incorrect information.
3. Acceptable Use
You may not use our website or Services to:
• Engage in unlawful, harmful or fraudulent activities
• Upload or distribute malware or malicious code
• Violate intellectual property, privacy or publicity rights
• Attempt unauthorized access to systems, networks or accounts

4. Intellectual Property

• We retain ownership of our underlying tools, reusable code components, frameworks and design systems
• Upon final payment, you receive a license to use deliverables for your business

We may reuse generalized, non-confidential code structures in other projects.
5. Fees, Invoices and Payment
Payment terms are defined in your proposal or invoice.
• Deposits are typically non-refundable
• Late or missed payments may delay work or delivery
• Final deliverables may be withheld until payment in full is received
6. Third-Party Services
Our work may involve third-party services such as hosting providers, DNS services, email providers, analytics platforms or payment processors.
We are not responsible for downtime, performance issues or data loss caused by third-party services.
7. Disclaimer of Warranties
Except where required by law:
• Services are provided “as is” and “as available”
• We make no warranties regarding uninterrupted service or error-free performance
• We do not guarantee specific results or outcomes
8. Limitation of Liability
To the fullest extent permitted by law:
• Neon Arc Studio is not liable for indirect, incidental, special or consequential damages
• Our total liability for any claim is limited to the amount paid by you in the preceding twelve (12) months
9. Indemnification
You agree to indemnify and hold harmless Neon Arc Studio from any claims or liabilities arising from:
• Your use of the Services
• Your breach of these Terms
• Content or materials you provide
10. Termination
Either party may terminate services in accordance with the applicable agreement.
We may suspend or terminate service without notice if we believe you have violated these Terms.

We may update these Terms periodically. The Effective Date above reflects the latest version. Continued use of our Services constitutes acceptance of revised Terms.
12. Governing Law
